§ 174
(1) Die Hauptversammlung beschließt über die Verwendung des Bilanzgewinns. Sie ist hierbei an den festgestellten Jahresabschluß gebunden. (2) In dem Beschluß ist die Verwendung des Bilanzgewinns im einzelnen darzulegen, namentlich sind anzugeben 1. der Bilanzgewinn; 2. der an die Aktionäre auszuschüttende Betrag oder Sachwert; 3. die in Gewinnrücklagen einzustellenden Beträge; 4. ein Gewinnvortrag; 5. der zusätzliche Aufwand auf Grund des Beschlusses. (3) Der Beschluß führt nicht zu einer Änderung des festgestellten Jahresabschlusses.
