§ 53 Ersatzansprüche bei der Nachgründung
Für die Nachgründung gelten die §§ 46, 47, 49 bis 51 über die Ersatzansprüche der Gesellschaft sinngemäß. An die Stelle der Gründer treten die Mitglieder des Vorstands und des Aufsichtsrats. Sie haben die Sorgfalt eines ordentlichen und gewissenhaften Geschäftsleiters anzuwenden. Soweit Fristen mit der Eintragung der Gesellschaft in das Handelsregister beginnen, tritt an deren Stelle die Eintragung des Vertrags über die Nachgründung.
