Art. 12 Abschluss des Fusionsvertrags
1 Der Fusionsvertrag muss von den obersten Leitungs- oder Verwaltungsorganen der an der Fusion beteiligten Gesellschaften abgeschlossen werden. 2 Er bedarf der schriftlichen Form und der Zustimmung der Generalversammlung beziehungsweise der Gesellschafterinnen und Gesellschafter der beteiligten Gesellschaften (Art. 18).
